1. Acceptance of Terms

By downloading, installing, or using Mimo: Capture it now ("Mimo," "the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Mimo is a native, local-first note-taking application for Windows 11 and Windows 10. Mimo provides a Notion-inspired block editor for creating, organizing, and managing notes, todos, and notebooks entirely on your local machine.

3. Beta Software Disclaimer

Mimo is currently provided as a beta release. Beta software may contain bugs, errors, or incomplete features. By using the beta version, you acknowledge and accept that:

The software may not function as intended in all scenarios.
Data loss may occur, though we strive to prevent it.
Features may change, be modified, or removed before the stable release.
We provide the beta software "as is" without warranty of any kind.

4. License Grant

Subject to these Terms, VRR Software Solutions grants you a limited, non-exclusive, non-transferable, revocable license to install and use Mimo on compatible Windows devices that you own or control, solely for your personal or internal business purposes.

5. Restrictions

You agree not to:

Reverse engineer, decompile, or disassemble the App.
Modify, adapt, or create derivative works based on the App.
Distribute, sublicense, lease, rent, or lend the App to third parties.
Use the App for any unlawful purpose or in violation of applicable laws.
Remove or alter any proprietary notices, labels, or marks on the App.

6. Intellectual Property

All intellectual property rights in and to Mimo, including but not limited to source code, design, graphics, logos, and documentation, are owned by VRR Software Solutions. These Terms do not grant you any ownership rights in the App.

7. Data & Privacy

Mimo operates on a 100% local-first architecture. Your notes, notebooks, tags, and reminders are stored exclusively on your local device. Please refer to our Privacy Policy for detailed information about data handling practices.

8. Disclaimer of Warranties

MIMO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VRR SOFTWARE SOLUTIONS DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VRR SOFTWARE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF MIMO.

10. Updates & Modifications

VRR Software Solutions may release updates, patches, or new versions of Mimo at its discretion. We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time without prior notice.

11. Termination

We may terminate or suspend your access to Mimo at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your license to use the App is immediately revoked.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms. Your continued use of Mimo after any changes constitutes your acceptance of the new Terms.
